Instructor Terms

These Instructor Terms ("Terms") apply to anyone who creates and publishes course content ("Content") as an instructor on the Agbata platform (agbata.com). By checking the box to accept these Terms and creating an instructor account, you agree to be bound by them.

These Terms are specific to instructors and apply in addition to Agbata's general Terms of Service and Privacy Policy. If there's a conflict between this document and the general Terms of Service on a matter specific to instructor content, these Instructor Terms govern.

Instructor accounts require admin approval, per Section 2.2 of the general Terms of Service. Agbata reserves the right to approve or reject instructor applications at its discretion based on qualification, experience, and platform standards.

1. Overview

As an Agbata instructor, you may film, edit, and publish short video courses through your instructor account. These Terms cover ownership of your Content, the rights you grant Agbata to use it, compensation, and platform expectations.

Instructors onboarded through Agbata's Upwork pilot program are identified on the platform with a grey verified checkmark, indicating they were vetted and onboarded through Agbata's official pilot program. This badge reflects onboarding path, not a ranking or endorsement of course quality relative to other instructors.

2. Ownership

You retain full ownership and copyright of all video content, footage, scripts, and other materials you create and publish as an instructor ("Content"). Agbata does not claim ownership of your Content.

3. License You Grant to Agbata

Standard license (required). By publishing Content on Agbata, you grant Agbata a non-exclusive, worldwide, royalty-free, sub-licensable license to:

• host, stream, and display your Content on the Agbata platform (agbata.com) and any successor Agbata platforms or apps;
• use your course title, description, and thumbnail/cover image to list and promote your course — including in course listings, search results, category pages, newsletters, and text- or graphic-based social posts announcing new courses; and
• create and share a short preview of your course footage (e.g., a trailer or brief highlight excerpt that gives viewers a sense of the course) on the Agbata platform, Agbata's YouTube channel, and Agbata's other social media channels (e.g. Instagram, TikTok, Facebook, X), to help promote your course and drive course sales.

This standard license does not include the right to publish your full, uncut course video outside the Agbata platform (for example, posting the complete video to YouTube) — that remains optional, described below.

Full-video sharing opt-in (optional). You may separately choose, in your instructor settings, to allow Agbata to publish your full course video — not just the preview — on Agbata's YouTube channel or other social media channels. If you opt in, you grant Agbata a non-exclusive, worldwide, royalty-free, sub-licensable license to distribute and display your full video on those channels.

You can turn full-video sharing on or off at any time in your instructor settings. Turning it off stops your full video from being used in new promotional content going forward; content already published at the time you opt out may remain live unless you specifically request its removal under Section 7. Declining or withdrawing this opt-in has no effect on your compensation, course approval, or standing as an instructor.

4. Your Right to Reuse Your Content

You're free to reuse, repost, or relicense your own Content elsewhere (e.g., on your own YouTube channel or social media), unless otherwise agreed with Agbata in writing.

5. Compensation

Course sales revenue. During the beta period, Agbata does not take a commission on course sales — instructors receive 100% of the sale price, after third-party payment processing fees (Stripe and/or Klasha) and any applicable taxes (e.g., withholding tax, VAT, or sales tax), depending on your location and applicable law. This is subject to change; Agbata will provide notice before any commission structure takes effect for future sales.

You are responsible for determining and paying any taxes applicable to your earnings under these Terms, including income tax obligations in your country of residence. Where applicable law requires Agbata to withhold or deduct taxes from your payments, Agbata will do so and this will reduce the amount you receive.

Per-video payment. A guaranteed flat per-video payment is currently only available to instructors onboarded through Agbata's Upwork pilot program (used for testing this compensation model), and applies only to that instructor's first published course. If you were onboarded this way, your payment terms are set out separately — for example, in your Upwork contract or an offer message — and are incorporated into these Terms by reference. This payment is also subject to any applicable payment processing fees and taxes as described above.

While the Agbata platform generally allows up to five course uploads per instructor account, pilot instructors onboarded via Upwork have the same upload limit. The guaranteed per-video payment described above applies only to that instructor's first published course. Any additional courses earn solely through course sales revenue (no additional guaranteed payment) unless otherwise agreed in writing.

Instructors who join directly through the Agbata website are not currently eligible for a guaranteed per-video payment, and earn solely through course sales revenue as described above. Agbata may expand guaranteed per-video payment to other instructors in the future, with notice.

Payouts. Earnings are added to your instructor balance and can be withdrawn via mobile money transfer. Payouts are processed weekly, every Friday; requests submitted after the weekly cutoff are processed the following Friday. If a student is refunded under the platform's refund policy, Agbata may deduct the corresponding amount from your instructor balance or a future payout.

6. Attribution

You'll be credited by name as the instructor on your course listing, and in promotional use where reasonably practical (e.g., video captions or descriptions).

7. Removal / Takedown

You may request that a course be removed from the Agbata platform at any time by contacting Agbata. Agbata will remove the listing within a reasonable time of such a request. Promotional excerpts already published on third-party platforms (e.g., YouTube) at the time of your request may remain live unless you specifically request their removal, in which case Agbata will make reasonable efforts to comply.

Agbata may also remove Content that violates these Terms, applicable law, or Agbata's content guidelines, at its discretion.

8. Content Requirements

• All submitted video footage must be real, human-filmed content — no AI-generated video or AI avatars. You may use AI tools to assist with research, planning, or scripting, but the final on-camera footage must be authentic and filmed by you (or under your direction).
• You confirm that you have the right to grant the license in Section 3 — e.g., that your footage does not infringe on any third party's rights, and that any identifiable individuals appearing on camera (other than you) have consented to appear.
• Content should be accurate, practical, and appropriate for a general audience of beginner-to-intermediate home growers.

9. Platform Beta Disclaimer

Agbata is currently operating in beta. The platform may contain bugs, downtime, or other issues that could affect the upload, display, or sale of your Content. Agbata will make reasonable efforts to resolve such issues but is not liable for losses arising from them during the beta period.

10. Term & Termination

These Terms apply for as long as you maintain an instructor account and/or have Content published on Agbata. You may stop publishing or close your account at any time. The license granted under Section 3 for previously published Content survives account closure, subject to Section 7 (Removal / Takedown).

Agbata may suspend or terminate an instructor account for violation of these Terms.

11. Changes to These Terms

Agbata may update these Instructor Terms from time to time. Material changes will be communicated to active instructors (e.g., by email or in-app notice) before taking effect. Continued use of your instructor account after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the Delaware Court of Chancery, consistent with Section 13 of the general Terms of Service.
